Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you") and AiKapal Sdn Bhd (Company No. pending registration), a company incorporated in Malaysia ("AiKapal", "we", "us").

By subscribing to, accessing, or using SAM5s, SAM5s Cloud, or Opsora (the "Services"), you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Services Description

AiKapal provides the following products under the SAM5s brand:

  • SAM5s (On-Premise): A maritime management system (MMS) deployed on the Customer's own servers or private cloud infrastructure.
  • SAM5s Cloud: A Software-as-a-Service (SaaS) maritime management system hosted and managed by AiKapal, billed per vessel per month.
  • Opsora: A maritime supplier e-procurement platform for purchase-to-payment workflows, supplier management, and quality governance.

3. Account Registration & Responsibilities

To access the Services, you must create an account and provide accurate information. You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activities that occur under your account.
  • Ensuring that all users within your organisation comply with these Terms.
  • Notifying us immediately of any unauthorised access or security breach.

4. Subscription & Payment Terms

SAM5s Cloud: Billed monthly or annually at MYR 3,XXX per vessel per month (standard) or MYR 1,XXX per vessel per month (Enterprise plan, minimum 30 vessels). Annual billing is available at a discounted rate.

SAM5s On-Premise & Opsora: Custom pricing scoped per engagement. Payment terms are defined in the respective Order Agreement or Statement of Work.

All fees are exclusive of applicable taxes (SST). Payment is due within 30 days of invoice. Late payments may attract interest at 1.5% per month.

5. Free Trial

We may offer a free trial period for SAM5s Cloud. During the trial: no payment is required; full platform features are accessible; data entered during the trial will be preserved upon conversion to a paid subscription. We reserve the right to terminate trial accounts that are inactive or used for abusive purposes.

6. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable regulation.
  • Attempt to reverse-engineer, decompile, or copy the Services.
  • Upload malicious code, viruses, or content that infringes third-party intellectual property rights.
  • Attempt to gain unauthorised access to other accounts, systems, or networks connected to the Services.
  • Resell or sublicense the Services without prior written authorisation from AiKapal.

7. Intellectual Property

The Services, including all software, design, and content, are the exclusive intellectual property of AiKapal Sdn Bhd. You are granted a limited, non-exclusive, non-transferable licence to use the Services for your internal business operations during the subscription period.

Your data remains your property. AiKapal does not claim ownership of data you input into the Services.

8. Service Availability & SLA

SAM5s Cloud targets a 98% monthly uptime SLA. Scheduled maintenance windows are excluded from SLA calculations and will be communicated at least 24 hours in advance.

SAM5s On-Premise uptime is subject to the Customer's own infrastructure and maintenance responsibilities.

9. Data & Security

We handle your data in accordance with our Privacy Policy. For SAM5s Cloud, we implement ISO 27001-aligned security controls. You are responsible for the security of your SAM5s On-Premise deployment.

10. Limitation of Liability

To the maximum extent permitted by Malaysian law, AiKapal's total liability for any claim arising from these Terms or the Services shall not exceed the total fees paid by you in the 3 months preceding the claim. AiKapal shall not be liable for indirect, consequential, or incidental damages.

11. Termination

Either party may terminate the subscription with 30 days' written notice. AiKapal may immediately suspend or terminate access if you breach these Terms, fail to pay outstanding invoices, or engage in conduct detrimental to the Services or other customers.

Upon termination, we will provide a data export within 30 days upon request, after which data will be securely deleted.

12. Governing Law

These Terms are governed by the laws of Malaysia. Any disputes shall be resolved by the courts of Malaysia, with Kuala Lumpur as the exclusive jurisdiction.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated at least 30 days in advance. Continued use of the Services after the effective date constitutes acceptance.
